Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ripella ("Ripella", "we", "us", or "our"), an AI-powered marketing content service available at ripella.com. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Ripella.

1. The service

Ripella reads information about your product (such as a product page URL and brand details you provide) and uses artificial intelligence to generate marketing content — including ad angles, video scripts, captions, and marketing images. The content is generated automatically and is provided for you to review, edit, and use at your discretion.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use Ripella. You are responsible for the information you provide, for maintaining the security of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Plans, billing, and payments

Ripella offers a free plan and paid subscription plans (Founder, Studio, and Agency), billed monthly in advance. Paid plans renew automatically each billing period until cancelled.

Payments are processed by our payment provider, Dodo Payments, which acts as the Merchant of Record for purchases made through Ripella. This means Dodo Payments is the seller of record, handles billing and applicable taxes, and may appear on your card or bank statement. By subscribing, you also agree to Dodo Payments' terms as they apply to the transaction.

Prices are shown in US dollars and may be exclusive of taxes, which are calculated at checkout. We may change our prices or plan features; changes to recurring prices will apply from your next billing period, and we will give you reasonable notice. Refunds and cancellations are governed by our Refund & Cancellation Policy.

4. Free plan and trials

The free plan and any free trial are provided to let you evaluate Ripella and may be subject to usage limits. We may modify or discontinue free offerings at any time. If a trial requires a payment method, you authorize us (through our payment provider) to charge the applicable subscription fee when the trial ends unless you cancel beforehand.

5. Your content and inputs

"Inputs" means the URLs, text, brand information, and other materials you submit to Ripella. You retain ownership of your Inputs. You represent and warrant that you have the necessary rights to submit them and that they do not infringe any third party's rights or violate any law. You grant us a limited license to process your Inputs for the purpose of providing the service — including transmitting them to the AI providers described in Section 10.

6. AI-generated output

Subject to your compliance with these Terms and payment of applicable fees, you own the content Ripella generates for you ("Output") and are free to use it for your marketing. However, because Output is generated by AI:

• It may be inaccurate, incomplete, or not unique, and similar Output may be generated for other users. You are responsible for reviewing, editing, and fact-checking Output before publishing or relying on it.
• We make no warranty that Output is original, non-infringing, or fit for a particular purpose. You are solely responsible for how you use it, including compliance with advertising, platform, and consumer-protection rules.

7. Acceptable use

You agree not to use Ripella to:

• break any law or infringe anyone's intellectual property or privacy;
• generate content that is unlawful, deceptive, defamatory, hateful, or that promotes harm;
• submit URLs or content you are not authorized to use, or attempt to scrape, overload, reverse-engineer, or circumvent limits of the service;
• resell or provide the service to third parties except as expressly permitted by your plan.

8. Intellectual property

Ripella and all software, design, and materials that make up the service (excluding your Inputs and Output) are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms.

9. Cancellation and termination

You may cancel your subscription at any time from your account settings; cancellation stops future renewals, and you retain paid access until the end of the current billing period. We may suspend or terminate your access if you breach these Terms or use the service in a way that risks harm to us or others.

10. Third-party services

Ripella relies on third-party providers to operate, including AI providers (such as Anthropic and OpenAI), hosting and infrastructure providers, and our payment provider (Dodo Payments). Your use of the service may be subject to those providers' terms, and we are not responsible for their acts or omissions.

11. Disclaimers

The service and all Output are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, Ripella and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the service will not exceed the amount you paid to us in the three (3) months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold Ripella harmless from any claims, damages, or expenses arising from your Inputs, your use of Output, or your breach of these Terms.

14. Changes to the service and these Terms

We may update the service or these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules, and you agree to the exclusive jurisdiction of the competent courts in India, except where mandatory local consumer law provides otherwise.
